Terms of Service

By accessing or using Toolwiz services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific services. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Toolwiz provides an AI-accelerated software development platform that includes:

• AI-powered codebase analysis and project planning
• Feature request creation, estimation, and development cycle management
• AI-accelerated code implementation with human engineer review
• Stakeholder review and approval workflows
• Development cycle performance reviews and continuous improvement

We reserve the right to modify, update, or discontinue features of the service with reasonable notice.

Hosting, deployment infrastructure, and server management are not included in our standard subscription plans. Toolwiz delivers production-ready code; you are responsible for hosting, deployment, and ongoing infrastructure operations.

Managed hosting and related infrastructure services may be available as a separate engagement under an individual agreement with its own scope, pricing, and terms. Contact us for details.

To use our services, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be at least 18 years old or the age of majority in your jurisdiction

You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that violate these Terms.

You agree to use Toolwiz only for lawful purposes. You may not use our services to develop, implement, or support:

• Software that violates any applicable law or regulation, including but not limited to UAE federal law, sanctions, or export controls
• Malware, spyware, ransomware, or any software designed to damage, disrupt, or gain unauthorized access to systems
• Tools for fraud, phishing, identity theft, or financial crime
• Platforms that facilitate illegal gambling, unlicensed financial services, or money laundering
• Content or services that exploit, harm, or endanger minors
• Software designed to unlawfully surveil, track, or monitor individuals without their consent
• Platforms that primarily exist to distribute pirated content or circumvent intellectual property protections
• Tools designed to generate spam, conduct unauthorized scraping, or abuse third-party services
• Any project that, in our sole judgment, poses ethical, legal, or reputational risk

You represent and warrant that your project complies with all applicable laws in your jurisdiction and the jurisdictions in which it will operate.

Right to refuse: We reserve the right to decline any project or client at our sole discretion, with or without reason, at any stage — including during onboarding, mid-development cycle, or upon discovery of a violation.

Termination for cause: We may immediately suspend or terminate your account and access if:

• Your project violates the Acceptable Use policy above
• You provide false or misleading information about the nature of your project
• You engage in abusive, threatening, or harassing behavior toward our team
• You attempt to circumvent platform security, access controls, or usage limits
• We receive a valid legal order or regulatory notice requiring us to do so

Effect of termination: Upon termination for cause, we will cease all work immediately. Any code already delivered remains yours with full read-only repository access preserved for 90 days. We are not obligated to complete in-progress work, and no refund is due for the current billing cycle. We may retain records of the termination for compliance purposes.

Voluntary termination: You may cancel your subscription at any time as described in the Cancellation section below.

Your code and IP: You retain 100% ownership of all code, architecture, designs, and intellectual property created through our platform. We claim no rights, licenses, or ownership over any deliverables. You may use, modify, distribute, or sell the code without restriction.

Our platform: The Toolwiz platform, including its AI models, tools, user interface, and documentation, remains our intellectual property. Your subscription grants you a non-exclusive, non-transferable right to use the platform during your subscription period.

Repository access: You grant us limited, revocable access to your code repositories solely for the purpose of analysis and implementation. This access is read-only unless you explicitly authorize write access for branch creation.

Subscription: Services are provided on a monthly subscription basis with effort unit-based delivery. Pricing is as described on our pricing page.

• Billing cycle: Monthly, starting from your subscription activation date
• Payment methods: We accept credit/debit cards (Visa, Mastercard, Amex), wire transfers (SWIFT, SEPA), and cryptocurrency (BTC, ETH, USDT, USDC, SOL, and other major coins). All subscriptions are prepaid. Payment processing may involve third-party providers (e.g. Stripe for card payments) subject to their own terms
• Effort units: Allocated monthly per your plan; unused units do not roll over
• Additional units: Can be purchased at any time during the billing cycle at $400/EU
• Plan changes: Upgrades are prorated; downgrades take effect at the next billing cycle
• Annual discount: 15–25% tiered discount available (Starter 15%, Growth 20%, Scale/Enterprise 25%)

All prices are exclusive of applicable taxes unless otherwise stated.

• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing cycle.
• Current development cycle: Any in-progress development cycle will be completed as part of your current billing period.
• Code delivery: All completed code remains accessible in the managed repository for 90 days after cancellation. You retain full read-only access during that period to clone the codebase.
• Refunds: We do not provide prorated refunds for unused portions of a billing cycle. Exceptions may be made at our discretion for service interruptions caused by us.
• Data retention: Upon cancellation, project data is retained for 90 days, then permanently deleted. You may request earlier deletion.

We strive to maintain high availability of our platform but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. Enterprise clients may negotiate custom SLAs as part of their agreement.

To the maximum extent permitted by law:

• Our total liability for any claims arising from or related to these Terms shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for losses resulting from unauthorized access to your account due to your failure to maintain credential security
• We provide services "as is" without warranties of any kind, express or implied, except as required by applicable law

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes your codebase, business logic, and project requirements, as well as our proprietary AI systems and processes. NDAs are available upon request and recommended for Enterprise engagements.

Our platform uses third-party AI language model providers (such as Anthropic, OpenAI, and similar services) to deliver core functionality including codebase analysis, code generation, estimation, and automated implementation. By using our services, you acknowledge and agree that:

• Data processing: Your project data — including code, repository structure, and project descriptions — may be transmitted to and processed by third-party AI providers for the purpose of delivering our services
• No model training: We contractually require that AI providers do not use your data to train their models. We select providers that offer zero-data-retention or equivalent data protection agreements where available
• Provider changes: We may change AI providers to improve service quality, performance, or cost efficiency. We will notify you of material changes to our provider stack
• Contact form: Our contact form processes your name, email, subject, and message to respond to your inquiry
• Payments: Payment processing may involve third-party providers (e.g. Stripe for card payments) under their own terms and PCI DSS compliance

We regularly review our third-party providers to ensure they meet our security and privacy standards.

Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms part of these Terms. Key points:

• Your code and project data are never used to train AI models (ours or third-party)
• Data is encrypted in transit and at rest
• Code analysis occurs in ephemeral, isolated containers
• You can request data deletion at any time

Every Toolwiz user is automatically enrolled in our affiliate program. By participating, you agree to the following terms:

• Commission: You earn 10% commission on your referral's first subscription payment and 25% on extras, add-ons, and services. Additional effort unit purchases are excluded from commission
• Attribution: Referrals are tracked via a first-party cookie (twz_ref) stored for 90 days when a visitor clicks your affiliate link. First-touch attribution applies — the first affiliate link clicked receives credit
• Cookie scope: The referral cookie is scoped to .toolwiz.ai, shared across toolwiz.ai and app.toolwiz.ai. No personal data is stored in this cookie
• Payouts: Commission is credited after the refund cooldown period following your referral's payment. Payouts are made in cryptocurrency (BTC, ETH, USDT, USDC, SOL) upon request to support
• Prohibited conduct: Self-referrals, cookie stuffing, misleading advertising, and artificially generating clicks or signups are prohibited. We reserve the right to revoke commission and suspend affiliate privileges for violations
• Changes: We may modify commission rates, attribution windows, or program terms with 30 days' notice

We may update these Terms from time to time. We will provide notice of material changes via email or platform notification at least 30 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms shall be resolved in the courts of Dubai, UAE, unless otherwise agreed in writing (e.g., DIFC Courts for Enterprise agreements).
